Corporations Act 2001 (Cth) s 250BB applies where a proxy appointment specifies how the proxy is to vote on a resolution. The proxy need not vote on a show of hands, but if they do they must vote as specified; if the proxy has two or more appointments specifying different ways to vote, the proxy must not vote on a show of hands. If the proxy is the chair, the proxy must vote on a poll and vote as specified. If the proxy is not the chair, the proxy need not vote on the poll, but if they do they must vote as specified.
