Corporations Act 2001 (Cth) s 250R provides that a listed company AGM must put a resolution that the remuneration report be adopted to the vote. The vote is advisory only and does not bind the directors or company. Votes on the resolution must not be cast by or on behalf of key management personnel whose remuneration details are included in the report, or their closely related parties, subject to proxy exceptions and ASIC declarations.
