Corporations Act 2001 (Cth) s 201A sets minimum director and residency requirements. A proprietary company must have at least one director, and that director must ordinarily reside in Australia. While a proprietary company has one or more CSF shareholders, it must have at least two directors, with at least one resident if there are only two directors or a resident majority otherwise. A public company must have at least three directors, not counting alternate directors, and at least two must ordinarily reside in Australia.
